These Terms of Service ("Terms") govern your access to and use of GridBee, a Chrome extension and related services ("GridBee" or the "Service") operated by Briltek Cloud ("we", "us", or "our"). By installing GridBee or signing in with your Google account, you agree to these Terms.

If you do not agree, do not install or use GridBee.

These Terms form a legal agreement between you and Briltek Cloud. Please read them carefully.

You must be at least 16 years old to use GridBee. By using the Service you represent that you meet this age requirement and have the legal capacity to enter into this agreement.

If you are using GridBee on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

GridBee requires a Google account for authentication and to access Google Workspace services (Sheets, Docs, Slides, Drive, Calendar, Apps Script). You are responsible for:

• Maintaining the confidentiality of your Google account credentials

• All activity that occurs under your account

• Reviewing and granting only the OAuth permissions you are comfortable with

• Notifying us promptly if you believe your account has been compromised

You may revoke GridBee's access to your Google account at any time at myaccount.google.com/permissions.

GridBee provides a side-panel companion for Google Sheets and Apps Script, including modules for assessment (Mastery), mobile data entry (Flow), formatting (Stylist), script export (Vaps), automated workflows (Automation), and sheet diagnostics (Health). Features may be added, modified, or removed at our discretion.

GridBee is provided as software-as-a-service. We do not warrant uninterrupted availability or that the Service will be free of errors.

5.1 Free trial

New users receive a 14-day trial of GridBee Pro starting from the date of your first sign-in. During the trial you have access to all paid features. No payment information is required to start the trial.

The trial ends automatically after 14 calendar days. At that point paid features become locked until you start a subscription.

5.2 Pro subscription

GridBee Pro is a monthly subscription billed at the price displayed on our payment page at the time of purchase (currently USD 19 per month). Subscriptions auto-renew each month until cancelled.

By starting a subscription you authorize us, through our payment processor Paystack, to charge your payment method the subscription fee on each renewal date.

5.3 Cancellation

You may cancel your subscription at any time by replying to the receipt email Paystack sends you, by managing the subscription in your Paystack-issued customer profile, or by emailing gridbee@briltek.cloud and we will route the cancellation request.

Cancellations take effect at the end of the current billing period. You retain Pro access until that date; no further charges will be made.

5.4 Refunds

Subscription fees are non-refundable except where required by law. We may at our sole discretion issue partial or full refunds in cases of accidental double-billing or undelivered service. To request consideration, email gridbee@briltek.cloud within 7 days of the disputed charge.

5.5 Pricing changes

We may change pricing for the GridBee Pro subscription with at least 30 days' notice, delivered through the extension or by email to the address on your account. New pricing applies on your next renewal date after the notice period. If you do not accept the new price you may cancel before the renewal date.

You agree not to:

• Use GridBee for any unlawful purpose or in violation of any applicable law

• Reverse-engineer, decompile, or attempt to derive the source code of GridBee beyond what is permitted by law (much of the extension is distributed unobfuscated for Chrome Web Store compliance — see Intellectual Property below)

• Resell, sublicense, or distribute GridBee or its features as part of another product or service

• Use GridBee to scrape, harvest, or otherwise extract data from Google Workspace services in violation of Google's Workspace Terms of Service or API Services User Data Policy

• Use GridBee to send spam, conduct phishing, or otherwise harm other users

• Use GridBee to process content that infringes intellectual property rights, contains malware, or violates the privacy of others

• Attempt to bypass authentication, subscription gates, or rate limits in the Service

• Submit feedback or other content through the extension that is unlawful, harassing, defamatory, or infringing

• Use automated means (bots, scripts) to interact with GridBee outside of the extension's intended use

We may suspend or terminate accounts that violate these rules without prior notice.

The Mastery module issues digital certificates upon successful completion of its assessments. These certificates carry a unique verification URL we host at gridbee.app/mastery/verify/{your-id}.

• Certificates indicate that you completed the assessment on the date shown. They are not endorsed by, affiliated with, or certified by Google.

• You may share your certificate publicly. You may not alter the certificate file (changing scores, names, or verification URLs) before sharing.

• We may revoke a certificate if we determine the assessment was completed fraudulently — for example, through automation or misrepresentation of identity.

8.1 GridBee

GridBee, its name, logos, design, copy, and the original portions of its source code are owned by Briltek Cloud. We grant you a personal, revocable, non-exclusive, non-transferable license to install and use GridBee for the duration of your access.

The Chrome Web Store distributes the extension's JavaScript and HTML in a form you can read in your browser's developer tools. This does not transfer ownership or grant any license beyond what is described in these Terms.

8.2 Your content

You retain all rights to the Google Workspace content you access through GridBee. We claim no ownership over your spreadsheets, documents, presentations, Apps Script projects, or other materials.

8.3 Feedback

If you send us feedback, feature requests, or suggestions through the in-extension feedback modal or by email, you grant us a perpetual, royalty-free, irrevocable right to use that feedback to improve GridBee — without obligation to credit you or compensate you.

GridBee depends on third-party services to function. Your use of those services is governed by their own terms:

• Google Workspace APIs and Identity — Google's Terms of Service

• Firebase — Firebase Terms of Service

• Paystack — Paystack Terms and Conditions

We are not responsible for the availability, accuracy, or content of third-party services. Outages or policy changes by these providers may affect GridBee's functionality.

GridBee is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied. To the maximum extent permitted by law, we disclaim:

• All warranties of merchantability, fitness for a particular purpose, and non-infringement

• Any warranty that GridBee will be uninterrupted, error-free, or completely secure

• Any warranty that the diagnostics, error reports, or automated suggestions produced by GridBee modules (Health, Vaps, Stylist, Automation) will be accurate, complete, or appropriate for your specific spreadsheet or use case

You are responsible for reviewing the actions GridBee takes on your behalf before relying on them in critical workflows.

To the maximum extent permitted by law, neither Briltek Cloud nor any of its officers, employees, contractors, or affiliates shall be liable for:

• Any indirect, incidental, special, consequential, or punitive damages

• Lost profits, lost revenue, lost data, or business interruption

• Damages resulting from your use of, or inability to use, GridBee

• Damages caused by Google, Paystack, Firebase, or any other third-party service we rely on

Our total cumulative liability for any claim relating to GridBee shall not exceed the greater of (a) the amount you paid for GridBee in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) USD 100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Briltek Cloud and its affiliates from any claim, demand, loss, or expense (including reasonable legal fees) arising out of:

• Your use of GridBee in violation of these Terms

• Your violation of any law or third-party right

• Content you provide through GridBee (including feedback) that infringes the rights of any third party

13.1 By you

You may stop using GridBee at any time. You may also request deletion of your account by emailing gridbee@briltek.cloud as described in our Privacy Policy.

13.2 By us

We may suspend or terminate your access to GridBee at any time, with or without notice, for any of the following reasons:

• Violation of these Terms

• Suspected fraudulent or abusive activity

• Non-payment of a subscription

• Discontinuation of the Service in your region or globally

• Legal or regulatory requirement

On termination, your right to use GridBee ends immediately. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

We may add, modify, or remove features of GridBee at any time. We are not obligated to maintain backward compatibility with previous versions or with third-party integrations that depend on a particular behavior.

We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by notice through the extension or by email.

Your continued use of GridBee after a change takes effect means you accept the updated Terms.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of GridBee will be resolved in the courts located in Lagos, Nigeria, and you submit to the personal jurisdiction of those courts.

If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction that grants you the right to sue in your local courts under mandatory consumer-protection law, those rights are not affected by this clause.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.

No waiver

Our failure to enforce any provision does not waive our right to enforce it later.
 

Assignment

You may not assign these Terms or any rights under them without our prior written consent. We may assign these Terms to any successor or affiliate in connection with a merger, acquisition, or sale of assets.
 

Entire agreement

These Terms (together with the Privacy Policy) constitute the entire agreement between you and Briltek Cloud regarding GridBee. They supersede any prior agreements or understandings.
